PART B — Listen Tier (consumer purchase)

B1. What you can do

(1) Download the audio file purchased on the License Certificate.

(2) Listen to it on any device you personally own, including phones, computers, tablets, in-vehicle systems, and home audio equipment. Listening with friends and family in a private setting is fine.

(3) Make backup copies for your own personal use across your own devices.

(4) Worldwide. Perpetual. Non-exclusive.

B2. What you cannot do

This is a consumer purchase, not a license to use the music in any other work. Specifically, you may not:

• Use the audio in any video, podcast, film, ad, game, or other content — that requires a Personal sync license at minimum (commercial use requires Commercial or Unlimited).
• Public performance — playing the audio in a commercial venue, at an event you're charging for, or as background music in a business.
• Broadcast — radio, TV, streaming services as part of programmed content.
• Share, redistribute, sell, or transfer the audio file or your purchase to any third party.
• Upload to streaming services under your own account.
• Sample, remix, edit, or modify the audio. Submit a sample-clearance inquiry for those uses.
• Use the audio in adult content, political advertising, hate content, NFTs, or as training data for AI/ML models.

B3. If you need to use the music in your project

Buying the song does not authorize use in other works. Step up to:

• Personal sync ($29 per track) — for non-commercial Projects like home videos or school work.
• Commercial ($99) — for monetized YouTube, podcasts, ads, client work.
• Unlimited ($399) — for broadcast, film, large games, unlimited use.

B4. Multi-track scope (EP / Album buys)

When you buy an EP or Album under the Listen tier, the grant in B1 applies to every track on the release. The personal-listening restriction in B2 applies to each track.

PART B — Commercial Tier

B1. What you can do

(1) Use the Licensed Work in commercial Projects, subject to a usage cap of one hundred thousand (100,000) total cumulative Impressions / Streams across all platforms, channels, and territories, counted from first publication of Your Project forward.

(2) The cap is per License purchased. If a single Project exceeds 100,000 Impressions/Streams, the Licensee must purchase the Unlimited tier. The Commercial fee may be credited toward the Unlimited fee at Licensor's discretion.

(3) One Project per License. Multiple Projects require multiple licenses.

(4) Permitted commercial channels include but are not limited to:

• paid digital and social advertising;
• monetized YouTube channels and podcast episodes;
• branded social-media content;
• commercial product videos;
• paid sponsored content;
• in-store / in-event playback at single-location businesses;
• client work delivered as a finished video, audio, or interactive piece.

(5) Worldwide. Perpetual. Non-exclusive.

B2. What requires Unlimited instead

Regardless of Impression count, the following channels require the Unlimited tier:

• broadcast television advertising (cable, satellite, or terrestrial);
• theatrical film;
• national network radio or television advertising;
• video games sold commercially with revenue exceeding US $50,000;
• pass-through sublicensing to your clients (see Unlimited B2).

B3. What you cannot do

• No sublicensing to or transfer to a third party.
• No sampling, remixing, or other derivative works. Submit a sample-clearance inquiry instead.
• No use in adult content, political ads, hate content, NFTs, or as training data for AI/ML models.

B4. Multi-track scope (EP / Album licenses)

When you purchase the Commercial tier as an EP or Album license, the grant in B1 applies to every track on the release. The 100,000 Impressions/Streams cap applies per track included on the release — purchasing an EP does not pool the cap across tracks.

PART B — Unlimited Tier

B1. What you can do

(1) Unlimited commercial use of the Licensed Work in any number of Projects, with no cap on Impressions / Streams.

(2) Permitted across all platforms, channels, formats, and territories worldwide, including but not limited to:

• broadcast television (advertising, programming, network or cable);
• theatrical film;
• national network advertising (radio + TV);
• paid streaming services;
• commercial physical media;
• video games of any size or revenue;
• live events of any size;
• branded content + product videos;
• monetized social, YouTube, and podcast content.

(3) Multiple Projects across multiple clients are permitted under a single Unlimited tier license. The Licensed Work may not, however, be transferred to a third party as a standalone audio asset.

(4) Worldwide. Perpetual. Non-exclusive.

B2. Sublicensing to your direct clients

The Unlimited tier grants one (1) tier of pass-through sublicensing to direct clients:

(1) A Licensee acting as an agency, production company, post house, or service provider may extend the rights of this License to its direct end clients for use in deliverables produced specifically for those clients.

(2) Sublicensing beyond the first tier of direct clients is prohibited. Your client cannot then sublicense onward.

(3) The Licensed Work may not be transferred or resold to clients as a standalone audio asset, even under sublicensing rights — only as a component of a finished deliverable (a finished video, ad, game, episode, etc.).

B3. What you still cannot do

• No sampling, remixing, looping in a way that creates a new track, or other derivative works. Submit a sample-clearance inquiry for those.
• No transfer of the License or the underlying audio asset to a third party as a standalone asset.
• No use in adult content, political ads, hate content, NFTs, or as training data for AI/ML models.

B4. Multi-track scope (EP / Album licenses)

When you purchase the Unlimited tier as an EP or Album license, the grant in B1 applies to every track on the release, with no per-track caps.
